TERMS AND CONDITIONS OF SALE
Real Estate Auction – Multi-Parcel Method
State of Ohio

The following terms and conditions apply to the sale of real estate by auction using the Multi-Parcel Method. All bidders must read and agree to these terms prior to bidding.


1. Multi-Parcel Auction Format

This auction utilizes the Multi-Parcel Method, which allows bidding on individual tracts, combinations of tracts, and the entire property as a whole. Bidding will remain open until the auctioneer determines all competitive bidding is complete. The method yielding the highest total sale price will determine how the property is sold. The auctioneer has the sole discretion to determine the grouping and regrouping of tracts.


2. Registration Requirements

All prospective bidders must:

  • Register with the auctioneer prior to bidding.

  • Provide valid photo identification.

  • Provide proof of funds or financing, if requested.

  • Acknowledge and accept these Terms and Conditions.

The auctioneer reserves the right to deny bidding privileges to any individual at their sole discretion.


3. Property Offered “As-Is”

The property is offered AS IS, WHERE IS with no warranties, representations, or guarantees expressed or implied by the seller or auctioneer. It is the bidder’s responsibility to:

  • Inspect the property prior to the auction.

  • Review all available documents and disclosures.

  • Conduct their own due diligence.


4. Contract and Earnest Money

  • The winning bidder(s) shall sign a non-contingent Purchase and Sale Agreement immediately following the auction.

  • An earnest money deposit equal to 10% of the total contract price (including Buyer’s Premium) shall be due on auction day.

  • The deposit must be made via certified check, cashier’s check, or wire transfer to the designated escrow agent.

  • Earnest money is non-refundable unless the seller cannot provide marketable title.


5. Buyer’s Premium

A 10% Buyer’s Premium will be added to the high bid to determine the total contract price.
Example: A high bid of $100,000 + 10% Buyer’s Premium = $110,000 total contract price.

All bidders agree to this fee and understand it is part of the final purchase amount due at closing.


6. Closing Terms

  • Closing shall occur within sixty (60) days of the auction date, or as soon thereafter as required surveys are completed, submitted, and approved by the Vinton County Auditor’s Office.

  • The seller will be responsible for initiating and paying for the necessary surveys for the division of property, if applicable.

  • Time is of the essence, and all parties are expected to cooperate in facilitating a timely closing.

  • The buyer is responsible for all customary closing costs, including title insurance, lender fees (if applicable), recording fees, and deed preparation.

  • Real estate taxes will be prorated to the date of closing.

  • Seller will deliver marketable title via general warranty deed (or applicable deed type).


7. Possession

Possession of the property will be granted upon closing and funding, unless otherwise agreed to in writing.


8. Agency Disclosure

The auctioneer and licensed real estate professionals are acting exclusively as agents for the seller. No dual agency is intended or implied unless otherwise disclosed.


9. Announcements and Modifications

All announcements made by the auctioneer on the day of the auction take precedence over any previously published or verbal information. The auctioneer reserves the right to:

  • Add or withdraw properties.

  • Change parcel groupings.

  • Accept or reject any bids.


10. Default

If the winning bidder fails to sign the purchase contract or provide the earnest money deposit as required, they will be considered in default. In such event:

  • The earnest deposit (if collected) will be retained by the seller.

  • The seller may pursue any legal remedies available, including specific performance or resale of the property at the defaulting bidder’s expense.


11. Legal Jurisdiction

This auction and any resulting transaction shall be governed by the laws of the State of Ohio. Venue for any disputes shall be the county in which the property is located.
